Jaar Capital is seeking companies that meet the following criteria and are cash flow positive for at least the last 3 years.
However, we are open to considering companies that do not meet the following criteria but are a strategic fit for our goals.
The typical exit situation would be:
* Owner-operator(s) in need of succession plan
* Partner(s) retiring or seeking an exit from the business
* Corporate carve-out
* Serial entrepreneur(s) looking to move on to the next venture
A typical company profile would be:
* Minimum of $500k EBITDA
* Revenue of $3Milion to $25Million
* Definitive and sustainable track record
* In a growing market
* Stable management team in place
* In a sector with potential for growth
* Recurring revenue or with long term contracts
* Limited technology or regulatory risk
* Preferably based in Canada or USA
Jaar Capital team typically prefers to take full control or majority control. We will consider a minority stake through our investment under specific conditions.
We generally look for technology, engineering, healthcare, and manufacturing companies, but are open to other areas if the company can complement our existing portfolio.
We are not a typical search Fund. Jaar Capital does not invest in or acquire startup companies. We have a sister company that invests solely in high-growth potential startups.
Business Brokers are also welcome to apply. But we always negotiate directly with business owners and not through business brokers. We ensure complete confidentiality.

Our Process
Our approach to acquisition is transparent and swift. Our process includes 5 steps as summarized below:
Step 1 – Discovery
Once you express interest in moving forward, we will sign a Non-Disclosure Agreement (NDA) with you (and your partners, if applicable). After that our team will schedule a discovery call to start the process. The objective of the call is to explore the strategies/objectives of both the sellers and buyers and gather initial data. If both parties determine that it is worth moving to the next step, we proceed further.
Step 2 – Financials and Current Operations
The second step is the submission of the last three to five years of financial statements and other operational and company info. After a review of the information, a follow-up call will be scheduled to share our thoughts and present some suggestions on what we refer to as a soft offer.
Step 3 – Letter of Intent
After the soft offer is accepted by all parties, an official Letter of Intent for the acquisition will be issued to be signed by all parties.
Step 4 – Due Diligence
Our team will spend a great deal of time working with the current owner/s to verify all the information submitted in step 2. The objective of this step is to better understand the company’s operations, strengths, and weaknesses and build out a business plan, road map, and strategy for the next 3 to 5 years. This will be developed with input from both parties.
Step 5 – Closing
After the completion of successful financial and legal transactions as agreed by both parties at the end of step 4, both teams will meet to commence the transition and implementation of the road map previously developed.
